These Terms and Conditions (“Terms”) govern your access to and use of the NextWave Supplies website and any purchases, quotes, or services provided by NextWave Supplies (“NextWave,” “we,” “us,” or “our”). By using our website, requesting a quote, placing an order, or purchasing from us, you agree to these Terms.

If you do not agree to these Terms, do not use the website or purchase from us.

1. Changes to these Terms

We may update these Terms at any time. Changes take effect when posted on the website. Your continued use after changes are posted means you accept the updated Terms.

2. Use of the Website

You agree to use the website only for lawful purposes and in a way that does not infringe the rights of others or restrict their use of the site.

We may suspend or terminate access to the website at any time for any reason, including suspected misuse or security concerns.

3. Quotes, Pricing, and Availability

Quotes may expire unless stated otherwise in writing. Prices may change without notice due to supplier changes, availability, or market conditions. Product images and descriptions are provided for convenience and may vary from the delivered product. Availability is not guaranteed until your order is accepted and confirmed.

4. Orders and Acceptance

Your order is an offer to purchase. We may accept, reject, cancel, or limit quantities in our sole discretion, including after an order is submitted. An order is considered accepted when we confirm it in writing (including by email or other electronic confirmation) or ship the product.

If we cancel an accepted order, our liability is limited to refunding amounts actually paid for the canceled items.

5. Payment Terms

Unless otherwise agreed in writing, payment is due according to the invoice terms. You authorize us to charge approved payment methods for amounts owed. Late payments may be subject to reasonable fees, interest, and collection costs to the extent permitted by law.

You are responsible for providing accurate billing and delivery information.

6. Taxes

Prices do not include sales, use, excise, or similar taxes unless stated. You are responsible for all applicable taxes. If you provide a tax-exempt certificate, it must be valid and on file before fulfillment.

7. Shipping, Delivery, and Risk of Loss

Delivery dates are estimates and not guaranteed. Delays do not relieve payment obligations. Shipping, handling, and freight charges may apply and will be communicated in your quote or invoice.

Risk of loss and title pass to you upon delivery to the carrier or delivery to your location, depending on the shipping terms stated on your invoice or order confirmation.

Inspect shipments promptly. Claims for damaged or missing items may require photos, packaging retention, and carrier documentation.

8. Returns, Exchanges, and Refunds

Unless otherwise required by law or stated in writing, returns typically require prior authorization. Items must generally be unused, in original packaging, and returned within a reasonable period from delivery. Shipping and handling fees may be non-refundable. Restocking fees may apply. Refunds, if approved, may be issued to the original payment method or as account credit, at our discretion.

Certain items may be non-returnable, including custom or imprinted promotional products, special orders, clearance items, and items marked final sale.

9. Promotional and Custom-Branded Items

For custom, imprinted, or branded items (including promotional products), you are responsible for reviewing and approving proofs, specifications, quantities, and artwork before production. Approval authorizes production as shown.

Color, imprint placement, sizing, and materials may vary slightly due to manufacturing processes. Industry-standard quantity variations may occur, and you agree to accept and pay for actual quantities delivered within a reasonable variance, if applicable.

You represent that you own or have permission to use any logos, trademarks, and artwork you provide. Custom items are generally non-cancellable and non-refundable once production begins.

10. Intellectual Property

All website content, including text, graphics, logos, and design, is owned by or licensed to NextWave and protected by intellectual property laws. You may not copy, modify, distribute, or exploit the content without prior written permission.

11. Prohibited Conduct

You agree not to attempt to gain unauthorized access to systems or data, introduce malware, scrape or disrupt the website, use the website to transmit unlawful or infringing content, or misrepresent your identity or affiliation.

12. Third-Party Links and Services

The website may include links to third-party sites or services. We do not control them and are not responsible for their content, policies, or practices. Your use of third-party sites is at your own risk.

13. Disclaimers

To the fullest extent permitted by law, the website and all products and services are provided on an “as is” and “as available” basis. We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Manufacturer warranties, if any, are provided by the manufacturer, not by NextWave. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

14. Limitation of Liability

To the fullest extent permitted by law, NextWave will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption.

NextWave’s total liability for any claim relating to the website, products, or services will not exceed the amount you paid to NextWave for the specific product or service giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless NextWave and its owners, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your misuse of the website, your breach of these Terms, or your infringement of any rights of another party, including for customer-supplied artwork and trademarks.

16. Force Majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including supply chain interruptions, carrier delays, labor disputes, natural disasters, power outages, or governmental actions.

17. Governing Law and Venue

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. You agree that any dispute will be brought in the state or federal courts located in New Jersey, and you consent to their jurisdiction and venue.

18. Severability and Waiver

If any part of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of that right.
